Member Agreement

ENG3N Professional Member Agreement

Effective Date: April 28, 2026

1. Parties and Platform Role

​

This agreement is entered into between ENG3N LLC, a North Carolina limited liability company, and the subscribing professional member. ENG3N operates as an online marketplace connecting independent industry professionals with licensed attorneys for purposes of litigation support, consulting, research, and expert witness services. ENG3N is not an employer, staffing agency, contracting firm, or legal services provider. ENG3N does not supervise, participate in, or bear responsibility for any engagement, agreement, compensation arrangement, or outcome between professional members and attorney members connected through the platform. All such arrangements are solely between the engaging parties.

2. Eligibility and Verification 

​

Professional membership is open to individuals with verifiable industry experience, credentials, or specialized knowledge relevant to litigation support, consulting, research, or expert witness services. Applications are reviewed at the sole discretion of ENG3N LLC. Approval is not guaranteed. ENG3N reserves the right to decline any application without explanation. Membership may be revoked at any time upon a finding of misrepresentation, violation of these terms, or conduct deemed detrimental to the platform or its members. Revocation of membership for any violation of these terms does not entitle the member to a refund of any kind.

Credentials submitted during the application process are self-reported. ENG3N does not independently verify the accuracy of professional credentials, certifications, licenses, or experience representations made by applicants or members. It is the sole responsibility of any attorney who engages a professional through this platform to conduct appropriate due diligence prior to that engagement.

​

3. Subscription Terms and Pricing

​

ENG3N professional membership is one flat annual subscription. There are no tiers, no credit systems, and no additional fees of any kind beyond the annual subscription fee.

​

Annual subscription: $299.00 per year. 

​

All subscriptions are billed annually through ENG3N's third party payment processor. Payment is not collected until an application has been reviewed and approved by ENG3N LLC. Upon approval, the applicant will receive a payment link to complete enrollment. Membership activates upon confirmed receipt of payment and remains active for 365 days from the date of activation. Membership does not renew automatically. Renewal notifications are sent at 60, 30, and 5 days prior to expiration and again on the date of expiration. It is the sole responsibility of the member to renew prior to expiration. ENG3N is not responsible for missed renewals.

Each member account holder assumes full and sole responsibility for all activity conducted under their account regardless of who initiates that activity. ENG3N has no visibility into how account credentials are managed or shared and accepts no responsibility for any action taken by any individual accessing the account with or without the account holder's authorization.

4. Payment and Refund Policy

​

All membership fees are collected in full at the time of activation through ENG3N's third party payment processor. By submitting payment the professional member acknowledges that they have read, understood, and agreed to the terms of this agreement in their entirety.

​

All payments made to ENG3N LLC are final and non-refundable without exception. No refund will be issued for any reason including but not limited to non-use of the platform, failure to receive inquiries, dissatisfaction with results, early cancellation, or termination of membership due to a violation of these terms.

​

The decision to subscribe is made solely by the professional member. ENG3N does not solicit payment prior to approval and does not collect fees from applicants who are not approved. Once approval is granted and payment is submitted, the member has exercised their right to join and the transaction is complete.

​

5. Member Profile and Listing

​

Upon activation, professional members receive a listing profile on the ENG3N platform. Profile content is the sole responsibility of the member. ENG3N does not write, edit, or curate profile content on behalf of any member.

​

All members must use their legal name. First and last name as submitted on the application are exported automatically to the member's display name. Members do not select their own display name. Use of a fictitious name, trade name, or any name other than the member's legal name is grounds for immediate removal without refund.

Profile content must accurately represent the member's actual experience, credentials, and areas of expertise. Misrepresentation of any kind, including exaggeration of credentials, fabrication of experience, or false claims of certification or licensure, is grounds for immediate removal without refund and may be reported to any applicable licensing or credentialing authority at the discretion of ENG3N LLC.

ENG3N reserves the right to remove or request correction of any profile content that is false, misleading, defamatory, or otherwise in violation of these terms.

​

6. Availability Light System

​

Industry Insiders control their own availability status through a three-state indicator displayed on their listing profile.

Green indicates the Insider is actively available and open to contact from attorney members. Green status is valid for a 24-hour period from the time it is set and will revert to Yellow upon expiration unless manually renewed.

​

Yellow indicates the Insider may currently be engaged in active work or negotiations but may still be available for additional engagement. Attorneys are encouraged to unlock Yellow profiles if the Insider's qualifications match their case needs.

Red indicates the Insider is not available.

​

Industry Insiders are responsible for keeping their availability status current and accurate. If an Insider does not log in to the platform for seven consecutive days, the system will automatically set the availability indicator to Red. Logging back in to the platform does not automatically restore any prior status. The Insider must manually reset their indicator to Green or Yellow. This is intentional. Availability is an active representation, not a default state.

​

Attorney members who unlock contact information for an Insider whose light is Red at the time of unlock do so with full knowledge of that status. ENG3N bears no responsibility for availability representations made by Industry Insiders or for any failure to update availability status in a timely manner. No credit reinstatement will be issued to any attorney member on the basis of an Insider's availability status at the time of unlock regardless of whether that status was current or auto-generated.

7. Confirmation of Agreement

​

As a condition of active membership, each professional member is required to send a confirmation email to info@eng3nllc.com within 48 hours of payment confirmation. That email must contain the following statement and nothing else:

​

"I, [Full Legal Name], have read, understand, and agree to the ENG3N Professional Member Agreement effective April 28, 2026."

​

Failure to submit this confirmation within the required timeframe does not void the membership or entitle the member to a refund. However, absence of this confirmation email on file with ENG3N LLC may be considered relevant in the event of any dispute filed by or against the member. Submission of this email constitutes an independent acknowledgment of agreement separate from and in addition to the checkbox confirmation completed at the time of application.

8. Disputes and Review

​

If an attorney member submits a complaint against a professional member, that complaint must be submitted in the prescribed format available at eng3nllc.com. Complaints that do not conform to the required format will not be acknowledged, reviewed, or acted upon under any circumstance. A complaint submitted outside of this format does not initiate the dispute process, does not place any obligation on ENG3N LLC to respond, and does not preserve any rights the complainant may otherwise have under this agreement.

ENG3N LLC will send a single confirmation email acknowledging receipt of a compliant complaint within 3 business days of submission. If no confirmation is received within that window the complainant should resubmit. Absence of confirmation means the complaint was not received in compliant form and the dispute process has not been initiated.

​

Upon receipt of a documented complaint ENG3N will notify the professional member in question. The professional member will have 10 business days from the date of notification to respond with evidence supporting their claimed credentials or refuting the allegations made. Both parties will be heard before any determination is made.

If a professional member believes a complaint has been filed in bad faith, that member may submit a written response through the same complaint intake process. ENG3N will review the response under the same standards applied to the original complaint.

ENG3N reserves the sole right to make final determinations in all disputes arising from use of this platform. Those determinations will be made deliberately, independently, and without outside influence. Once issued, they are final. Removal for cause is permanent and without refund.

​

If a professional member believes an attorney member has acted in bad faith, misused contact information obtained through an unlock, or otherwise violated the terms of this agreement, that professional member may submit a formal complaint to info@eng3nllc.com through the same prescribed complaint intake process applicable to all disputes on this platform.

 

9. First Contact Framework 

​

ENG3N recommends that attorney members who unlock a professional member's contact information initiate that first contact in writing, with a clear statement of the matter type, the general scope of the engagement being considered, and the anticipated timeline. This recommendation is offered as a best practice framework.

​

This is a recommendation, not a requirement. ENG3N does not monitor, review, or participate in any communication between attorney members and professional members. ENG3N has no visibility into what is said, offered, agreed to, or declined in any communication occurring outside this platform. Nothing in this section creates any obligation on either party with respect to the content or conduct of their private communications.

​

Professional members are solely responsible for protecting any privileged, confidential, or sensitive case information received through contact initiated by an attorney member outside the ENG3N platform. ENG3N is not a party to any such communication and accepts no liability for the content or consequences of any correspondence exchanged between members. Any disclosure of privileged or confidential information prior to a signed engagement agreement is made solely at the risk of the disclosing party.

10. Conduct and Platform Integrity

​

Professional members agree to conduct themselves professionally and in good faith at all times while listed on the ENG3N platform and in all communications with attorney members following contact. ENG3N is a closed professional ecosystem built on trust. The integrity of that ecosystem depends on the conduct of every member within it.

​

The following are prohibited and constitute grounds for immediate review and potential permanent removal without refund:

Submission of false or misleading information at any stage of the application or membership process.

​

Use of the platform or any contact initiated through it for any purpose other than legitimate litigation support, consulting, research, or expert witness engagement.

Submission of responses to complaints in bad faith or without supporting documentation.

​

Any attempt to circumvent the platform's access controls, pricing structure, or terms of use.

​

Any conduct that ENG3N LLC determines, in its sole discretion, to be detrimental to the platform, its members, or its reputation.

​

ENG3N does not monitor communications between members. However, if credible evidence of prohibited conduct is brought to ENG3N's attention through the dispute process, it will be reviewed with the same independence and fairness applied to all matters on this platform.

​

11. Intellectual Property

​

All content associated with the ENG3N platform including but not limited to its name, logo, tagline, design, copy, structure, and the E•3™ mark are the exclusive intellectual property of ENG3N LLC. Unauthorized reproduction, imitation, distribution, or use of any ENG3N intellectual property in any form is prohibited and may result in legal action. Membership in ENG3N confers no license or right to use any ENG3N intellectual property for any purpose outside of the platform.

​

Member profiles and the content within them remain the intellectual property of the individual member. By submitting a profile, the member grants ENG3N LLC a non-exclusive, royalty-free license to display that content on the platform for the duration of the member's active subscription. Upon expiration or termination of membership, the member's profile will be removed from public view. ENG3N retains no ongoing right to display member content following the conclusion of an active membership period.

12. Limitation of Liability

​

ENG3N LLC's liability to any professional member arising from or related to the use of this platform is limited in all cases to the amount paid by that member for their current membership term. ENG3N LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages of any kind arising from or related to the use of this platform, the conduct of any attorney member, the outcome of any engagement, or the failure of any engagement to result in work, compensation, or continued professional relationship.

ENG3N is a connection platform. It does not supervise engagements, guarantee inquiries, or warrant outcomes of any kind. The professional member assumes full responsibility for all decisions made in connection with any attorney who makes contact through this platform.

​

Nothing in this agreement shall be construed to limit ENG3N LLC's liability for gross negligence, willful misconduct, or fraud.

​

13. Governing Law and Dispute Resolution

​

This agreement is governed by the laws of the State of North Carolina without regard to its conflict of law provisions. Any dispute arising from or related to this agreement or the use of the ENG3N platform shall be resolved through binding arbitration administered by a mutually agreed upon neutral arbitrator in Gaston County, North Carolina. Both parties waive the right to a jury trial and to participation in any class action arising from or related to this agreement or the use of the platform. The arbitrator's decision shall be final and binding on all parties and may be entered as a judgment in any court of competent jurisdiction.

The parties agree that prior to initiating arbitration they will attempt in good faith to resolve any dispute informally by submitting a written description of the dispute to info@eng3nllc.com and allowing ENG3N LLC thirty days to respond and attempt resolution. This informal resolution requirement does not apply in cases where immediate arbitration is necessary to prevent irreparable harm.

14. Amendments to this Agreement

​

ENG3N LLC reserves the right to amend or update this agreement at any time. Members will be notified of material changes via the email address on file. Continued use of the platform following notification of any amendment constitutes acceptance of the revised terms. Members who do not accept amended terms must notify ENG3N LLC at info@eng3nllc.com prior to their next membership renewal. Continued use of the platform after notification of changes and without objection constitutes binding acceptance.

15. Severability

​

If any provision of this agreement is found to be invalid, unlawful, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision shall be severed from this agreement. The remaining provisions of this agreement shall continue in full force and effect.

16. Our Commitment to Fairness

​

ENG3N LLC was built on the belief that the legal process, at its best, is the most effective system of fairness ever devised by human beings. We exist to serve that process. It follows that we hold ourselves to the same standard.

​

Every complaint received by ENG3N will be treated as legitimate until the evidence determines otherwise. Every member accused of a violation will be notified promptly and given a full and fair opportunity to respond. No determination will be made until both sides have been heard completely and without prejudice. No member of this platform, regardless of the size of their firm, the weight of their wallet, or the prestige of their credentials, will receive preferential treatment in any review conducted by ENG3N LLC.

​

We understand that there are three sides to every dispute. The complainant's account. The respondent's account. And the truth. Our obligation is to the truth. Nothing else.

​

A negative verdict, unfavorable ruling, settlement, dismissal, or any other adverse outcome in a legal matter is not, by itself, evidence of professional inadequacy on the part of any expert engaged through this platform. A dissatisfied attorney is not evidence of misconduct. An outcome that did not meet expectations is not grounds for removal. What the evidence demonstrates regarding the conduct and representations of the member is what governs. What the evidence demonstrates is all that governs.

​

ENG3N LLC reserves the sole right to make final determinations in all disputes arising from the use of this platform. Those determinations will be made deliberately, independently, and without outside influence. Once issued, they are final.

​

We are fair. We will always be fair. That is not a promise we make lightly. It is the foundation this platform was built on and the standard we will be held to.

​
